Acceptance of Terms

By creating an account or using Proposly ("the Service"), you agree to these Terms of Service. If you are accepting on behalf of a company, you confirm you have the authority to bind that company.

Description of the Service

Proposly is a workspace for creating, sending, e-signing, and invoicing business proposals and quotations, including ZATCA Phase 2-compliant e-invoicing for eligible tenants.

Accounts & Subscriptions

You are responsible for the accuracy of the information you provide and for keeping your login credentials confidential. Subscription plans, pricing, and included features are described on our Plans page and may change with notice.

Acceptable Use

You agree not to use the Service to: violate any applicable Saudi law or regulation, upload unlawful or infringing content, attempt to breach the platform's security, or resell access to the Service without authorization.

Your Content

You retain ownership of the proposals, quotations, invoices, and client data you create in Proposly. You grant us a limited license to host, process, and display that content solely to provide the Service to you.

Intellectual Property

The Proposly platform, its design, templates, and underlying software are owned by Bawabat Al-Afkar Information Technology Est. (مؤسسة بوابة الأفكار لتقنية المعلومات) and protected by applicable intellectual property laws. Nothing in these Terms transfers ownership of the platform to you.

Billing & Payment

Subscription fees are billed in Saudi Riyals (SAR) and are inclusive of VAT where applicable, in accordance with ZATCA regulations. See our separate Refund & Cancellation Policy for cancellation and refund terms.

Termination & Suspension

You may cancel your subscription at any time from your account settings. We may suspend or terminate accounts that violate these Terms, with notice where reasonably possible.

Disclaimers & Limitation of Liability

The Service is provided "as is". To the maximum extent permitted by Saudi law, our liability for any claim arising from your use of the Service is limited to the amount you paid us in the 12 months preceding the claim.

Governing Law & Dispute Resolution

These Terms are governed by the laws of the Kingdom of Saudi Arabia. Any dispute that cannot be resolved amicably shall be referred to the competent commercial courts in Makkah Al-Mukarramah, where the establishment is registered.
